The following Rules and Regulations govern the use of the premises at The Offices at Solon Business Campus, LLC (hereinafter “OSBC,” “we,” or “us”). These rules apply to all licensees (hereinafter “you” or “your”), including private office licensees, dedicated cubicle licensees, shared workspace users, mailbox holders, and their guests, employees, and invitees.
Important: OSBC reserves the right to amend, modify, or supplement these Rules and Regulations at any time, at its sole discretion, as it deems needful or desirable for the safety, care, and cleanliness of the Premises and for the preservation of good order. The most current version posted on this page governs your use of the Premises. Continued use of the Premises constitutes acceptance of any updated rules.
1. Advertising and Signs
Licensees are permitted to display business signage on the Premises, subject to the following conditions:
- No permanent attachment. No sign, advertisement, notice, or other lettering may be permanently inscribed, painted, drilled, or affixed to any door, wall, window, or other part of the interior or exterior of the Premises. Signage must be free-standing or attached by non-damaging, fully removable means only.
- Prior written approval required. Before installing or displaying any signage, you must submit a proof or mockup of the proposed sign — including dimensions, materials, content, and intended location — to OSBC for review.
- Turnaround. OSBC will respond to a complete signage request within five (5) business days. Approval will not be unreasonably withheld.
- Removal. All signage must be removed by the licensee upon termination of the license, and any damage caused by signage installation or removal is the licensee’s responsibility.
2. Closing and Locking of Doors
You agree that you will be responsible for the closing and locking of all doors in and to the Premises. You will pay for any damage resulting from neglect of this rule.
3. Office Equipment
You agree not to install or operate any equipment in or about the Premises other than standard office equipment for general office use, such as personal computers, monitors, calculators, and a desktop printer/scanner/copier multifunction machine. Any equipment beyond standard office use — including industrial, manufacturing, or high-power equipment — requires OSBC’s prior written consent in each instance.
4. After-Hours Access
Access to the Premises outside of standard business hours is by door code only. There is no on-site staff present after business hours. You are responsible for ensuring that only you and your authorized, approved personnel access the Premises after hours, that all doors are securely closed and locked upon exit, and that no unauthorized persons are admitted. You assume full responsibility for the security of the Premises during any period you or your personnel are present after hours.
5. Noises and Other Nuisance
You agree not to make or permit any noise or odor that is objectionable to other occupants of the Premises to emanate from the Premises.
6. Smoking
You agree that smoking is prohibited in the facility. This prohibition extends to vaping, e-cigarettes, and the use of any open flames or combustible products anywhere inside the Premises.
7. Furniture and Heavy Articles
Furniture and all large articles shall be brought into the Premises or removed therefrom at such times and in such manner as OSBC shall direct and at your sole risk and responsibility.
8. Meeting Rooms
You agree that you will be responsible for leaving all meeting rooms in a clean and tidy condition after each use. This includes putting all garbage in the trash cans provided and cleaning up any spills. You agree to pay any expenses incurred from neglect of this rule.
- Cancellation Fee: You agree to pay a cancellation fee of 50% if the scheduled conference room or meeting room is not cancelled within 24 hours of the scheduled time.
- Availability: Any meeting room allowance included in the base services fee shall be subject to the availability of said room. Unless cancelled by OSBC, all advance bookings are subject to the cancellation fee described above.
9. Internet Access
OSBC provides shared internet service intended for normal business browsing and downloading activities in a shared environment.
- Bandwidth Usage: Excessive use of bandwidth may impact service for other users. If your usage is impacting others, OSBC will bring it to your attention, and you agree to promptly correct it. Activities requiring extensive bandwidth, hosting, or public access are not supported on the shared service.
- Security: You acknowledge that it is your responsibility to maintain your own security software, firewall, and operating system updates. If your machine becomes infected with a virus or malware, it must be removed from the network by you until it has been successfully cleaned. OSBC is not responsible for cleaning, repairing, or servicing licensee equipment.
10. Concealed Weapons
OSBC prohibits any person from carrying a concealed handgun or other deadly weapon into the Premises. No person shall knowingly possess, have under the person’s control, convey, or attempt to convey a deadly weapon or dangerous ordnance onto the Premises. By acknowledging this regulation, you agree that you and your visitors, guests, employees, and associates shall fully comply.
11. Occupancy
You agree to occupy the Premises for general office purposes only, and all clients and visitors shall present themselves in a professional manner.
12. Mail Handling and Distribution
Mail handling and distribution at the Premises is restricted to OSBC and its authorized personnel only. Licensees, tenants, guests, and other occupants are not permitted to handle, sort, distribute, or otherwise interfere with mail other than the mail delivered to their own designated mailbox by OSBC or its authorized personnel.
Legal Notice: Any interference with mail by licensees, tenants, or other unauthorized persons — including but not limited to handling, opening, removing, concealing, or destroying mail not addressed to that person — may be subject to prosecution under Ohio Revised Code § 2913.021 and applicable federal mail-tampering statutes. Violations will be reported to law enforcement.
13. Guests, Visitors & Door Access Codes
- You are fully responsible for the conduct of your clients, guests, employees, and invitees while on the Premises.
- Guests must be accompanied by you and may not be given independent access to the Premises.
- Access to the Premises is provided by door code. Your door code is issued solely to you, is confidential and non-transferable, and may not be shared with, disclosed to, or used by any third party, including other licensees, family members, employees not approved by OSBC, or guests.
- If you suspect your door code has been compromised or disclosed to an unauthorized person, you must notify OSBC immediately so the code can be changed.
- OSBC reserves the right to change door codes at any time, in its sole discretion, for security or operational reasons.
- Overnight stays, lodging, or use of the Premises as a residence is strictly prohibited.
- You may not sublicense, assign, or otherwise transfer your rights or access to the Premises to any third party.
14. Common Areas & Kitchen
- Keep kitchen, restrooms, lounges, and other shared spaces clean. Clean up after yourself and your guests.
- Do not leave personal items, food, or paperwork in shared spaces.
- Label items left in the refrigerator. Refrigerators are cleaned out regularly and unlabeled or expired items may be discarded.
- Treat all shared furniture, appliances, and fixtures with care. You are responsible for any damage caused by you or your guests beyond normal wear and tear.
15. Parking
- Parking is provided on a first-come, first-served basis in designated areas only.
- Do not park in fire lanes, handicap spaces (unless properly permitted), reserved spaces, or areas marked “No Parking.”
- Overnight parking, vehicle storage, vehicle repair, and commercial vehicle parking are not permitted without prior written consent from OSBC.
- OSBC is not responsible for damage to vehicles or theft of items left in vehicles. Vehicles parked in violation of these rules may be towed at the owner’s expense.
16. Property, Alterations & Personal Belongings
- No alterations, painting, drilling, or modifications to walls, floors, ceilings, doors, or fixtures are permitted without prior written approval from OSBC.
- Furniture and equipment provided by OSBC must remain in place and may not be removed, relocated, or altered.
- You are responsible for any damage to the Premises caused by you, your employees, or your guests, beyond normal wear and tear.
- OSBC is not responsible for the loss, theft, or damage of personal property left on the Premises. Licensees are strongly encouraged to carry their own business liability insurance and personal property/business contents coverage. Specific insurance requirements, if any, are set forth in your License Agreement.
17. Safety, Fire & Emergency Procedures
- Do not block fire exits, fire extinguishers, electrical panels, or emergency equipment.
- Space heaters, additional refrigerators, and high-draw appliances are not permitted without written approval from OSBC.
- In an emergency, contact 911 first, then notify OSBC as soon as it is safe to do so.
- You must comply with all fire codes, building codes, and applicable laws and regulations.
18. Prohibited Activities & Uses
- Illegal activity of any kind is strictly prohibited.
- No firearms, weapons, hazardous materials, or controlled substances are permitted on the Premises.
- No retail sales, consumer foot-traffic businesses, manufacturing, or activities that significantly increase noise, odor, foot traffic, or wear on the Premises.
- No pets or animals, except service animals as required by law, with advance written notice to OSBC.
- No solicitation of other licensees, employees of OSBC, or visitors on the Premises.
19. Use of Premises Address as Business Address
The address of the Premises (31320 Solon Road, Suite 19, Solon, OH) is a valuable asset of OSBC. Use of this address as a business address — including on websites, marketing materials, business cards, government filings, registered agent designations, banking applications, licensing applications, contracts, mail, or any other commercial purpose — is strictly limited as follows:
- License Required. Every individual person and every business entity (including without limitation corporations, LLCs, partnerships, sole proprietorships, trusts, nonprofits, and DBAs) that uses the Premises address as a business address must have a current, fully executed License Agreement with OSBC.
- One License, One Entity. A licensee’s License Agreement authorizes the use of the Premises address only for the licensee named in the agreement and for business entities of which that licensee is a principal, owner, officer, member, partner, or employee. Licensees may not permit any other person or unaffiliated business entity to use the Premises address.
- Disclosure of Entities. Licensees must disclose to OSBC, in writing, every business name, DBA, and entity that will use the Premises address. Any additional or substitute entity must be disclosed and approved in writing by OSBC before the address is used.
- No Address Sharing or Resale. Licensees may not lend, sublicense, sell, or otherwise permit any third party — including friends, family members, clients, business associates, or unaffiliated businesses — to use the Premises address. This applies even if no fee is charged.
- Unauthorized Use. Any unauthorized use of the Premises address constitutes a material breach of the License Agreement and may result in immediate termination of the license, refusal to accept or hold mail for the unauthorized party, return of mail to sender, removal of unauthorized parties from government and commercial records at the unauthorized party’s expense, and pursuit of all available legal remedies, including injunctive relief and damages.
- Post-Termination. Upon termination of the license for any reason, you must immediately cease all use of the Premises address and update your address with all senders, government agencies, banks, secretaries of state, registered agent registries, and other parties. Continued use after termination is unauthorized and subject to the remedies above.
20. Payments, Fees & Account Standing
- All license fees, mailbox fees, conference room cancellation fees, damage charges, and other amounts are due on the dates specified in your License Agreement.
- Late payments are subject to late fees, interest, and other charges as set forth in your License Agreement.
- Failure to pay or repeated late payment may result in suspension of access, termination of the license, and pursuit of all available remedies.
- Holdover use of the Premises after expiration or termination of the license is subject to enhanced holdover fees as set forth in your License Agreement.
21. Termination & Move-Out
- Upon termination of the license, you must remove all personal property and leave the licensed space in broom-clean condition.
- Any property left behind may be disposed of by OSBC at your expense.
- Your door code will be deactivated upon termination. Continued attempts to access the Premises after termination are unauthorized and may result in trespass charges.
- Mail after move-out. You are responsible for updating your address with all senders. For a termination that is not for cause (i.e., not the result of a rule violation or breach), OSBC will hold and, upon request, allow pickup of mail for a grace period of thirty (30) days following the termination date, after which uncollected mail may be returned to sender or discarded. You must complete your address change within this 30-day window. For a termination for cause, no grace period applies, and mail may be returned to sender immediately upon termination.
- Final reconciliation of fees, deposits, and damages will be handled in accordance with your License Agreement.
22. Enforcement & Violations
Violation of these Rules and Regulations may result in any one or more of the following, at OSBC’s sole discretion:
- Verbal or written warning;
- Suspension of access to all or part of the Premises;
- Assessment of fees, damage charges, or other costs;
- Termination of the License Agreement; and/or
- Referral to law enforcement and pursuit of all legal remedies available to OSBC.
Failure of OSBC to enforce any rule on any occasion shall not constitute a waiver of OSBC’s right to enforce that rule, or any other rule, on any future occasion.
23. Additional Rules
OSBC reserves the right to make such other and further Rules and Regulations as in its judgment may from time to time be needful or desirable for the safety, care, and cleanliness of the Premises and for the preservation of good order therein in accordance with your License Agreement. The latest version of these Rules and Regulations is posted on our website and shall control over any prior version.
24. Nature of Your License
Your agreement with The Offices at Solon Business Campus, LLC is a revocable license, not a lease. It does not create a landlord-tenant relationship, a leasehold estate, or any possessory interest in real property. OSBC reserves the right to relocate licensees, modify common areas, and amend these Rules and Regulations at any time as provided in your License Agreement. In the event of any conflict between these Rules and Regulations and your License Agreement, the License Agreement shall control.
25. Association (HOA) Rules
The Premises are located within a planned development governed by a property owners’ association (the “Association”). Licensees, their employees, guests, and invitees must comply with all Association declarations, bylaws, rules, regulations, and architectural guidelines, as amended from time to time. The Association may amend its rules at any time, and any such amendment is binding on licensees. Where Association rules and these Rules and Regulations differ, the more restrictive requirement controls. Licensees are solely responsible for any fines, assessments, or penalties imposed by the Association arising from their conduct or that of their employees, guests, or invitees.
Acknowledgment
By using the Premises, you acknowledge that you have read and agree to comply with these Rules and Regulations, and that OSBC may amend them at any time. The most current version posted on this page controls. Continued use of the Premises constitutes acceptance of any updated Rules and Regulations.
